Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by ZorvenaCreativeWorks, operating from Avenida Almirante Reis 102, 1150-022 Lisboa, Portugal, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services or access our website.

2. Scope of Services

ZorvenaCreativeWorks provides web development services including custom web application development, client portal systems, API architecture, performance optimization, frontend engineering, database architecture, cloud deployment, and ongoing maintenance. The specific scope, deliverables, timeline, and pricing for each engagement shall be agreed upon in writing prior to commencement of work.

3. Payment Terms

Payment terms are specified in each individual project proposal. Unless otherwise agreed: (a) a 50% deposit is required before work commences, (b) the remaining 50% is due upon project completion and delivery, (c) invoices are payable within 14 days of receipt. Late payments incur a 1.5% monthly interest charge. All prices are in Euros (EUR) and exclude applicable VAT.

4. Project Milestones & Delivery

Projects are delivered according to agreed milestones. ZorvenaCreativeWorks will provide progress updates at each milestone. Client feedback must be provided within 5 business days of milestone delivery. Delays in client feedback may result in timeline adjustments. Final delivery includes source code, deployment documentation, and access credentials as specified in the project scope.

5. Intellectual Property

Upon full payment, all intellectual property rights in the delivered work product are assigned to the client. ZorvenaCreativeWorks retains the right to display the work in its portfolio and marketing materials unless expressly restricted in the project agreement. Pre-existing libraries, frameworks, and tools used in development remain the property of their respective owners and are licensed to the client as part of the deliverable.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of 24 months. Confidential information shall not be disclosed to third parties without prior written consent.

7. Limitation of Liability

ZorvenaCreativeWorks' total liability for any claim arising out of or in connection with our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Warranty

ZorvenaCreativeWorks warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. A 90-day warranty period applies from the date of final delivery, covering defects in workmanship. This warranty does not cover issues arising from third-party modifications, misuse, or changes to the hosting environment.

9. Termination

Either party may terminate a service agreement with 14 days' written notice. In the event of termination: (a) the client is liable for all work completed up to the termination date, (b) ZorvenaCreativeWorks will deliver all completed work product, (c) deposits paid for uncompleted work may be refunded at ZorvenaCreativeWorks' discretion based on work completed.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Portugal and the European Union. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisboa, Portugal.

Refund & Reimbursement Policy

ZorvenaCreativeWorks is committed to delivering high-quality web development services. Refunds are evaluated on a case-by-case basis according to the project milestones completed, work delivered, and the specific circumstances of the request. 2. Eligibility for Refund

You may be eligible for a full or partial refund under the following circumstances:

  • Cancellation Before Work Begins: If you cancel the project before any work has commenced, you are entitled to a full refund of any deposit paid, minus any administrative fees (maximum 5% of the deposit).
  • Cancellation During Early Stages: If cancellation occurs after work has begun but before the first milestone is delivered, a partial refund of 75% of the deposit may be issued, reflecting work completed to date.
  • Non-Delivery: If ZorvenaCreativeWorks fails to deliver the agreed-upon deliverables within the specified timeline due to reasons solely attributable to ZorvenaCreativeWorks, a full refund of all payments made will be issued.
  • Material Defects: If the delivered work materially deviates from the agreed specifications and ZorvenaCreativeWorks is unable to remedy the defects within 30 days of notification, you may request a partial refund proportional to the affected scope.

3. Non-Refundable Items

The following are not eligible for refund:

  • Work completed and approved at intermediate milestones.
  • Third-party costs incurred on your behalf (domain registrations, hosting fees, licensed software, API subscriptions).
  • Services fully delivered and accepted in writing.
  • Changes in project scope requested after initial approval (change orders are billed separately).

4. Refund Process

To request a refund:

  • Include the reason for the refund request and any relevant supporting documentation.
  • ZorvenaCreativeWorks will acknowledge receipt within 2 business days and provide a decision within 14 business days.
  • Approved refunds will be processed to the original payment method within 10 business days of approval.

5. Dispute Resolution

In the event of a dispute regarding refunds, both parties agree to first attempt resolution through direct negotiation. If negotiation fails within 30 days, either party may initiate mediation through a mutually agreed mediator in Lisboa, Portugal. These terms are governed by Portuguese and EU consumer protection law.
